Terms and Conditions for Bulk Purchases/ Stockist Opportunities

Please read these Terms and Conditions carefully before engaging in bulk purchases or stockist opportunities. These terms govern your relationship with the supplier or manufacturer ("we", “us” or "our") and outline your rights and obligations as a bulk purchaser or stockist ("you" or "your"). By entering into a bulk purchase or stockist agreement with us, you agree to comply with these Terms and Conditions. 

Eligibility

1.1 You must provide accurate and up-to-date information about your business, including your business name, contact details, etc.

1.2 You must be a registered business entity and/or have a platform to sell our products.

Wholesale Pricing

2.1 We offer wholesale pricing to eligible bulk purchasers or stockists.

2.2 Wholesale pricing is subject to change at our discretion. We will provide reasonable notice of any price adjustments.

Ordering and Payments

3.1 To place a bulk order, please email hello@thelovewitch.sg to submit a purchase order with the desired product and quantity.

3.2 All orders are subject to acceptance by us, and we reserve the right to reject any order at our sole discretion.

3.3 Payment is to be made to our bank account within of us issuing the invoice.

3.4 Late payments may be subject to interest charges and may result in the suspension or termination of your bulk purchase or stockist privileges.

3.5 You are responsible for any applicable taxes, duties, and shipping fees associated with your order.

Product Usage and Promotion:

4.1 As a stockist, you are authorised to resell our products in accordance with these Terms and any additional guidelines provided by us.

4.2 You may not engage in false or misleading advertising, or make any unauthorised claims about our products.

4.3 You may not modify or rebrand our products without our prior written consent.

Delivery and Shipment

5.1 Delivery will proceed upon acceptance and payment of your order. 

5.2 Risk of loss or damage to the products passed to you upon delivery.

5.3 You are responsible for inspecting the delivered products upon receipt and reporting any damages or discrepancies to us within 3 days of delivery otherwise, the sale will be considered final.

Returns and Refunds

6.1 Returns or exchanges of bulk purchases are not accepted unless the products are defective or damaged upon delivery.

6.2 If you receive defective or damaged products, you must notify us within 3 days, providing supporting evidence such as photographs or other relevant documentation.

6.3 We reserve the right to request the return of the defective or damaged products for inspection before issuing a refund or replacement. 

Intellectual Property

7.1 You acknowledge and agree that all intellectual property rights, including trademarks, copyrights, and patents, associated with the products belong to us.

7.2 You are prohibited from using our intellectual property without our prior written consent, including but not limited to modifying, reproducing, distributing, or creating derivative works.

Confidentiality

8.1 During the course of your engagement as a bulk purchaser or stockist, you may gain access to confidential information about our products, pricing, or business operations.

8.2 You agree to keep all such confidential information strictly confidential and not to disclose it to any third party without our prior written consent.

Termination

9.1 Either party may terminate the bulk purchase or stockist agreement by providing written notice to the other party.

9.2 Termination does not relieve either party of any obligations or liabilities incurred prior to the termination date.

9.3 Upon termination, you must cease using our intellectual property and return any unsold inventory within a reasonable timeframe as specified by us.

Limitation of Liability

10.1 To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your participation in the bulk purchase program or stockist opportunities.

10.2 Our total liability under these Terms, regardless of the cause of action, shall be limited to the amount you paid us for the products in question.

Amendments

11.1 We reserve the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to you in writing or by posting the revised terms on our website.

11.2 Continued engagement in bulk purchases or stockist opportunities after the effective date of the revised terms constitutes your acceptance of the updated Terms and Conditions.

Governing Law and Jurisdiction

12.1 These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Singapore.

By engaging in bulk purchases or becoming a stockist, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, please refrain from participating in the bulk purchase program or stockist opportunities.
